Affiliation contract

This agreement governs the terms and conditions of the affiliation programme of “Benessence”, a brand of the company Natura S.r.l. (P.I.: 015230706), hereinafter also referred to as the “Company” and the “Affiliate”, i.e. the applicant and, in case of acceptance of this agreement, the beneficiary of the commissions.

Art. 1

Object

The affiliation programme is an agreement through which Natura S.r.l. recognises a commission for each successful purchase made by visitors from the Affiliate’s site or advertisements, under the following terms and conditions.

By “affiliated site” we mean the Internet site in which the links to Benessence di Natura S.r.l. will be inserted.

Art. 2

Modalities of adhesion

In order to join the affiliation programme it is necessary that the terms and conditions of this agreement are accepted and that the affiliation application is filled in.

Natura S.r.l. will screen the applications, reserving the right to accept or refuse.

Art. 3

Non-exclusivity

Natura S.r.l. does not impose on the affiliated site any exclusivity.

Art. 4

Advertising and Content of the Affiliate Site

The Affiliate must not describe the products of Natura S.r.l. using false and misleading expressions.

Natura S.r.l. is not responsible for the content published on the affiliate’s website and reserves the right to terminate and revoke, at any time, this agreement if the affiliate’s website is not in line with the corporate policy and image of Natura S.r.l., for example because: it has content that incites violence; it promotes obscene or pornographic material; it promotes discrimination related to race, sex, religion, age and sexual orientation; it violates copyrights; it promotes illegal activities; it is, more generally, a poor quality website.

In any case, the Affiliate must not harm in any way the image of Natura Srl, which reserves the right to terminate and revoke, at any time, this agreement if the agreed terms are not met.

Art. 5

Duration of the present agreement

This Agreement shall run from the date of acceptance of the Affiliate’s application and shall be automatically renewed until the Affiliate becomes inactive or requests termination.

After 12 months of inactivity by the Affiliate, the Affiliation Agreement shall be considered terminated. Any affiliate who has not logged onto the Natura Srl website for more than 12 months, has not received any clicks or new commissions for more than 12 months shall be considered inactive.

The affiliate may at any time and without the need to provide an explanation, decide to terminate the agreement. It will be sufficient to give notice by e-mail. Commissions accrued up to that time shall be paid in the manner set out in Article 6 below.

Art. 6

Determination of the commissions

Natura S.r.l. recognizes to the Affiliate a commission equal to 10% on the sale of products to clients who reach the site www.benessence.it through the links present on the affiliated site.

Visitors are free to browse for an unlimited period of time and the Affiliate shall receive a commission for all purchases made during the browsing session.

Commissions are calculated on the full price of the product minus any line discounts, total order discounts, application of vouchers and/or gift cards, and VAT.

Commissions will be recognised for orders placed during the period of validity of this agreement and for which Natura Srl has received payment from consumers.

Commissions will not be recognised in relation to products in relation to which the consumer has exercised the right of withdrawal within the first 10 days from the receipt of the order, or whose order lines are cancelled following a request by the customer or due to the unavailability of the product itself.

Art. 7

Accrual and payment of commissions

Commissions are calculated and paid bimonthly, in relation to purchases made in the following periods

  • 1 January – 28 February;
  • 1 March – 30 April;
  • 1 May – 30 June;
  • 1 July – 31 August;
  • 1 September – 31 October;
  • 1 November – 31 December.

The data accrued by the Affiliate are always available and can be consulted on the Natura Srl website, through reserved access in the personal area. The data are updated daily in real time.

In any case, Natura Srl shall send, by the 15th day of the following month, a summary statement of the commissions accrued by the Affiliate in the previous two months, and shall pay the commissions once the amount of at least 50 euros has been accumulated.

The Affiliate, against this statement and with reference to the relevant period, will be required to issue an invoice or debit note (in the case of individuals) for occasional services. Payment will be made by Natura Srl within 30 days from the date of receipt of the invoice or debit note by bank transfer to the current account indicated by the Affiliate or, at the express request of the Affiliate, the accumulated amount may be converted into loyalty points that can be used on the Natura Srl website.

Amounts of less than 50.00 euros will be retained until the sum of the commissions recognised exceeds the threshold of 50.00 euros in a subsequent statement of account, or until the termination of this agreement.

Art. 8

Tax treatment of commissions

Commissions represent an occasional service between Natura Srl and the affiliate. If the party is tax resident in Italy, the service is subject to withholding tax, which shall be shown on the invoice.

Commissions are understood to be gross of VAT and withholding tax only and net of any REVENUE (INPS, INNERCASSA, etc.), which shall be borne exclusively by the Affiliate.

For amounts equal to/exceeding € 77.47, as provided for by the regulations in force, a € 2.00 revenue stamp must be applied to the receipts/invoices of the parties concerned by the regulations. In this case, the amount shall be debited by deducting it from the calculation of subsequent fees.

Art. 9

Price of products

The selling price of Natura Srl’s products is determined autonomously by Natura Srl according to its own pricing policies.

Art. 10

Return of Products and Order Cancellation

If an item is returned by the customer at a time subsequent to its receipt, the commission that had been recognised for that product may be deducted from the next payment or in the case of non-existence of a subsequent payment, the amount will be invoiced to the affiliate.

Art. 11

Amendments to the Agreement

Natura Srl reserves the right to modify the terms and conditions of the present agreement by giving timely communication to the affiliate and by publishing on its website the text of the new agreement; if the affiliate will not accept the modifications made, he will have to give timely written communication to Natura Srl by e-mail, and the present agreement will be considered resolved. In case of lack of communication by the affiliate, the modifications made will be considered accepted by the same.

Art. 12

Competent Court

Any dispute regarding the interpretation, execution or termination of this agreement shall be referred to the competent court identified in the Court of Larino.
